Character.AI bankrupt: Disney steps in with a $20 million offer

Character.AI is auctioning its assets under judicial protection. Disney has made an initial $20 million proposal for the technology.

Character.AI’s trajectory is taking a sharp turn. Known for its conversations with virtual characters and interactive fiction experiences, the American platform is filing for Chapter 11 bankruptcy protection, the U.S. procedure allowing a distressed company to restructure under judicial supervision. Its goal: to organize the sale of all or part of its assets. Disney has already positioned itself with a stalking horse bid of $20 million, without having actually acquired the company. Disney Enters the Sale Process

The agreement reached with Disney Worldwide Services involves a perpetual, non-exclusive license to certain intellectual property rights, as well as certain claims and rights of Character.AI. In exchange, Disney is offering $20 million and transition services provided by former employees of the platform who have now been hired by the group.

Disney is acting as a stalking horse bidder, a benchmark bidder whose offer serves as a starting point for an auction supervised by the U.S. courts. Other candidates will be able to submit more favorable competing proposals.

The agreement therefore constitutes neither a definitive acquisition of Character.AI, nor an exclusive transfer of all its technology to Disney. A Platform Weakened by Legal Proceedings

Character.AI has been facing legal, regulatory, and operational challenges for several months. The platform, founded in 2021, has notably been targeted by several legal proceedings concerning interactions between its conversational characters and underage users.

These cases have raised questions about the risks associated with AI companions, particularly their influence on adolescent behavior and mental health. Character.AI had already restricted access to certain open conversations for users under 18.

The financial proceedings also come amid significant changes within the company. Its co-founders joined Google in 2024, while its former executive Karandeep Anand was recently appointed Chief Technology Officer at Disney, accompanied by several collaborators. The Platform Could Close by December

Character.AI plans to continue its operations during the proceedings, with minimal disruption to its users. Subscriptions remain active and ongoing commitments are to be maintained, subject to the necessary court authorizations.

The announced timeline anticipates a conclusion of the sale process in late November or early December 2026.

However, the continuation of the service is not guaranteed. In its communication to users, Character.AI acknowledges that the platform could be shut down if no offer allows its operations to be maintained. What Future for AI Characters?

Disney's interest comes at a time when major entertainment groups are seeking to develop new experiences around their universes and characters. Character.AI possesses specific expertise in interactive conversations, role-playing, and AI-generated narratives.

However, no joint project or integration of this technology into Disney services has been announced as part of the agreement.

Above all, this procedure illustrates the economic and legal fragility of a sector that has long relied on user engagement. For Character.AI, the immediate challenge is no longer developing new experiences, but finding a buyer capable of ensuring the platform's continuity. For Disney, the transaction could represent an opportunity to acquire rights and skills in conversational entertainment, without necessarily taking over the company itself.
